Mobile Application — Directed to Families with Children Under 13

These Terms of Service (“Terms,” “Agreement,” or “ToS”) constitute a legally binding agreement between you and RiseOhana, Inc. (“RiseOhana,” “RO,” “Company,” “we,” “us,” or “our”), a Delaware C-Corporation, governing your access to and use of the RiseOhana mobile application (the “App”) and all related services, features, content, and functionality (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE APP. By creating an account, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy and Data Retention Policy, which are incorporated herein by reference.

1. Acceptance of Terms and Eligibility

1.1 Acceptance

By accessing or using the App, you agree to be bound by these Terms and all applicable laws and regulations. These Terms apply to all users of the App, including Parents (as defined below) and Child Users (as defined below). If you are a Parent creating or managing an account for a Child User, you accept these Terms both on your own behalf and on behalf of the Child User.

1.2 Eligibility — Parent Accounts

To create a Parent account, you must:

1. Be at least eighteen (18) years of age, or the age of majority in your jurisdiction if greater than 18;
2. Have the legal capacity to enter into a binding contract;
3. Provide accurate and complete registration information; and
4. Not have been previously suspended or removed from the App for violation of these Terms.

1.3 Eligibility — Child Accounts

Child accounts are available only for children between the ages of four (4) and twelve (12), inclusive. Child accounts may be created only by a Parent. A child may not independently create an account on the App.

To create a child account, the Parent must:

1. Be the child’s parent or legal guardian;
2. Provide the child’s first name or nickname and birth month and year;
3. Complete the Verifiable Parental Consent (“VPC”) process described in Section 4; and
4. Accept these Terms on behalf of the child.

Data Minimization: RiseOhana collects the child’s birth month and year only — not the exact date of birth.

1.4 Defined Terms

• “Parent” means a parent or legal guardian of a Child User who holds an account on the App.
• “Child User” means an individual under the age of 13 whose account is created and managed by a Parent.
• “User” means any Parent or Child User who accesses or uses the App.
• “Quest” means a task or activity assigned by a Parent to a Child User within the App.
• “Points” or “Credits” means the non-monetary value units awarded within the App upon completion of Quests.

2. Account Registration and Types

2.1 Parent Accounts

Parent accounts are created through OAuth authentication using Google, Apple, or Microsoft sign-in services. The Parent is responsible for maintaining the confidentiality of their account credentials and for all activity under their account.

2.2 Child Accounts

Child accounts are created exclusively by Parents. Child accounts are subordinate to and controlled by the associated Parent account. Child accounts are provisioned via a QR code scanning process. Child Users authenticate via a PIN established by the Parent.

2.3 Account Responsibilities

1. Accuracy. You agree to provide accurate, current, and complete information during registration.
2. Security. You are responsible for safeguarding your account credentials. You agree to notify RiseOhana immediately at privacy@riseohana.com of any unauthorized use.
3. Parental Supervision. Parents are responsible for supervising their children’s use of the App.
4. One Account Per Person. Each individual may hold only one account.

3. Description of Services

3.1 Overview

RiseOhana provides a mobile application that enables Parents to assign Quests to their children. Children complete Quests by submitting photographic evidence. RiseOhana’s AI-powered verification system analyzes the photo to assess completion. The Parent reviews the result and makes the final approval decision. Upon approval, the child earns Points or Credits.

3.2 Quest System

1. Quest Creation. Parents create Quests by defining task criteria, setting completion requirements, and assigning the Quest to one or more Child Users.
2. Quest Completion. Child Users complete Quests by performing the assigned task and submitting a photograph as evidence.
3. AI-Powered Verification. Submitted photographs are analyzed by RiseOhana’s AI verification system (powered by OpenAI) to assess whether the photograph demonstrates Quest completion.
4. Parental Review. The Parent reviews the AI verification result and the submitted photograph, and makes the final determination of whether to approve or reject the submission. The Parent may override the AI decision at any time.
5. Points Award. Upon parental approval, the child earns the Points or Credits assigned to the Quest.

3.3 Parental Dashboard

The App provides a Parental Dashboard that enables Parents to create and manage Quests, review submissions, approve or reject completions, manage child accounts and privacy settings, view activity history, exercise parental rights under COPPA, and manage consent preferences.

3.4 Parent-Assisted Quest Authoring

RiseOhana offers an optional AI-assisted authoring feature that helps a Parent create Quests through a conversation with RiseOhana’s AI assistant (“Hani”). The Parent describes, in their own words, the Quest they want to create, and the assistant suggests Quest details (such as the task, reward, and completion criteria) for the Parent to review, edit, and approve. Use of the assisted feature is at the Parent’s discretion; a Parent may also create Quests manually without the assistant.

4. COPPA Compliance and Parental Consent

4.1 Applicability

The App is directed to families with children under 13 and is subject to the Children’s Online Privacy Protection Act (“COPPA”), 15 U.S.C. 6501-6506, and its implementing regulations at 16 C.F.R. Part 312, as amended (effective 2026).

4.2 Verifiable Parental Consent Required

Before any personal information is collected from a Child User, RiseOhana requires Verifiable Parental Consent (“VPC”) through the Email Plus method (16 C.F.R. Section 312.5(b)(2)), which involves: disclosure, consent affirmation, email verification (within 48 hours), and confirmatory communication.

No child account is activated, and no personal information is collected from a child, until VPC has been obtained and verified.

4.3 Data Minimization

RiseOhana collects the child’s birth month and year only. RiseOhana does not collect email addresses, physical addresses, telephone numbers, Social Security numbers, precise geolocation data, or persistent device identifiers from children.

4.5 Parental Rights Under COPPA

Parents of Child Users have the following rights, honored promptly and without charge:

1. Right to Review. Review all personal information collected from the child via the Parental Dashboard or by contacting privacy@riseohana.com.
2. Right to Request Deletion. Request deletion at any time via the Parental Dashboard, email, or phone.
3. Right to Refuse Further Collection. Refuse to permit further collection; child’s account placed in read-only mode.
4. Right to Withdraw Consent. Withdraw consent at any time via the Parental Dashboard (Child Data & Privacy > Revoke Consent) or by contacting privacy@riseohana.com.
5. Right to Data Portability. Request a copy in CSV or JSON format.
6. No Conditioning. RiseOhana does not condition a child’s participation on disclosure of more information than is reasonably necessary.

4.6 Consent and Account Activation

Acceptance of these Terms, including AI-powered photo verification by OpenAI (Section 6), is a condition of account activation. AI-powered Quest verification is integral to the core functionality of the Services.

Family-Level Consent. Parental consent applies to all children within a family account. Consenting for one child applies to all children you add to your RiseOhana family. Revoking consent likewise affects all children in the family.

5. Data Collection, Use, and Privacy

5.1 Privacy Policy

RiseOhana’s data practices are governed by our Privacy Policy, incorporated into these Terms by reference.

5.2 Data Sharing with Service Providers

RiseOhana shares personal information with the following third-party service providers solely to operate the App:

1. OpenAI — AI-powered Quest verification (see Section 6).
2. Stripe — Subscription billing and payment processing for Parent accounts. No child personal information is shared.
3. OAuth Providers (Google, Apple, Microsoft) — Parent account authentication. No child personal information is shared.
4. SMTP Email Service — Transactional emails to Parents. No child personal information is processed.
5. Firebase Cloud Messaging — Push notification delivery to parent and child devices. Push tokens are app-specific identifiers, not persistent device identifiers. Firebase Cloud Messaging does not receive child names, photos, or quest data. RiseOhana does not use Firebase Analytics, Crashlytics, or any other Firebase service.

5.3 No Sale or Advertising

RiseOhana does not sell, rent, or commercially transfer personal information. The App is advertisement-free for children.

6. AI-Powered Quest Verification by OpenAI

6.1 Core Service Component

AI-powered Quest verification is an integral component of the RiseOhana Service. Accepting these Terms means accepting that submitted Quest photos will be analyzed by OpenAI’s AI system. This is not an optional feature.

6.2 How AI Verification Works

When a Child User submits a photo: the photo and Quest criteria are transmitted to OpenAI’s Vision API; OpenAI evaluates whether the photo demonstrates completion; the result is presented to the Parent for review and final approval; the Parent retains full authority to override any AI decision.

6.3 Data Shared with OpenAI

Shared: Photo (image data), Quest completion criteria (text), child’s age range (derived from birth month and year).

Not shared: Child’s name, exact birth date, Parent’s contact information, payment or billing information, device identifiers.

6.4 OpenAI as Service Provider

OpenAI acts as a data processor. RiseOhana maintains a Data Processing Agreement (DPA) with OpenAI requiring: processing solely for AI analysis, photo retention no longer than 30 days, no use of photos for AI model training, no sale or transfer of data, appropriate security measures, and equivalent obligations on sub-processors.

6.5 Parental Override

The Parent retains full authority to approve or reject any Quest submission, regardless of the AI verification result.

6A. AI-Assisted Quest Authoring for Parents by OpenAI

6A.1 What This Feature Is

When a Parent uses the optional AI-assisted authoring feature (Section 3.4), the Parent’s messages to the AI assistant are analyzed by OpenAI’s AI system to generate the assistant’s responses and Quest suggestions. Unlike Quest photo verification (Section 6), which analyzes a child’s photo, this feature processes the Parent’s own conversation. Choosing to use the assisted feature means accepting that the Parent’s authoring messages will be processed by OpenAI as described in this Section.

6A.2 How It Works

When a Parent uses assisted authoring: the Parent types messages describing the Quest they want to create; the Parent’s messages, together with limited non-identifying context needed to tailor the suggestion, are securely transmitted to OpenAI, with any child names or child-identifying details replaced by non-identifying placeholders before transmission; OpenAI’s AI system returns a suggested reply and Quest details; and the Parent reviews, edits, and approves the suggested Quest, retaining full authority over what is created.

6A.3 Parent Memory

To make the assistant more helpful over time, RiseOhana derives a small number of short notes about the Parent (for example, a parenting value or goal the Parent has expressed) from the Parent’s own messages, and stores them to provide continuity in future sessions. These notes (a) describe the Parent, not the child; (b) are strictly private to that Parent and are never shared with any other guardian or user; and (c) may be reviewed and deleted by the Parent at any time within the App.

6A.4 Data Shared with OpenAI

Shared: the Parent’s authoring messages; the short derived Parent notes described in Section 6A.3; limited non-identifying context (such as a child’s age range and placeholder labels) used to tailor the suggestion.

Not shared: the child’s name or child-identifying details; the child’s exact birth date; the Parent’s email or contact information; payment or billing information.

6A.5 OpenAI as Service Provider

OpenAI acts as a data processor on behalf of RiseOhana in connection with assisted authoring, under the same Data Processing Agreement described in Section 6.4. OpenAI processes this data solely to provide the requested assistance and is contractually prohibited from using it to train, fine-tune, or improve its AI models, and from selling or commercially transferring it. Consistent with OpenAI’s published API data policy, data submitted to the OpenAI API is not used to train or improve OpenAI’s models, and OpenAI retains these authoring requests for no longer than thirty (30) days for abuse-monitoring purposes, after which they are automatically deleted — the same retention window that applies to Quest photos.

6A.6 Optional Feature

Assisted authoring is an optional convenience. A Parent may create Quests manually without using the AI assistant, in which case the Parent’s authoring messages are not transmitted to OpenAI.

7. User Content and Photos

7.1 License Grant

By submitting photos or other content (“User Content”), you grant RiseOhana a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, process, and display the User Content solely to operate the Quest verification system, display content to the Parent for review, maintain Quest records during the retention period, and create anonymized or aggregated data for system improvement. This license terminates upon deletion of the User Content.

7.2 No Broader Use

RiseOhana does not use User Content for advertising, marketing, promotional purposes, or behavioral profiling.

7.3 Photo Retention

Photos are retained for thirty (30) days from submission, then automatically deleted from primary storage. Photos may persist in automated backups for up to an additional ninety (90) days after deletion from primary storage, after which they are permanently purged from all systems.

Parents may request immediate deletion of any photo at any time via the Parental Dashboard or privacy@riseohana.com. Deletion requests are processed within twenty-four (24) hours.

8. Points and Credits System

Points and Credits are non-monetary value units used solely within RiseOhana. They have no cash value, are non-transferable (unless expressly permitted), and do not constitute currency, stored value, or any regulated financial instrument. Points are awarded at the Parent’s discretion and may be modified or reset by the Parent at any time. Points are forfeited upon account deletion.

RiseOhana has no obligation to honor, redeem, or convert Points into monetary value. RiseOhana may modify, suspend, or discontinue the Points system at any time.

9. Acceptable Use Policy

The App is intended for lawful, personal, non-commercial use by families. You agree not to: use the App unlawfully; submit illegal, obscene, or threatening content; submit fraudulent Quest evidence; create accounts for children you do not have guardianship over; misrepresent information during registration; attempt unauthorized access; reverse engineer the App; use automated means to access the App; or interfere with the App’s infrastructure.

RiseOhana reserves the right to investigate and take action against violations, including warnings, suspension, termination, content removal, and reporting to law enforcement.

10. Intellectual Property

The App and its content are the property of RiseOhana or its licensors, protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the App on your personal device for non-commercial use. “RiseOhana” and related marks are trademarks of RiseOhana, Inc.

If you provide feedback or suggestions, you assign all rights in such feedback to RiseOhana.

11. Disclaimers

THE APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RISEOHANA DOES NOT WARRANT THAT THE AI VERIFICATION SYSTEM WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. AI VERIFICATION RESULTS ARE AN ASSISTIVE TOOL; THE PARENT IS SOLELY RESPONSIBLE FOR FINAL QUEST APPROVAL. RISEOHANA DOES NOT WARRANT UNINTERRUPTED, TIMELY, OR SECURE SERVICE. RISEOHANA IS NOT LIABLE FOR ACTS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISEOHANA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) SUBSCRIPTION FEES PAID IN THE PRECEDING 12 MONTHS; OR (B) $100.00. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify and hold harmless RiseOhana from claims arising from your use of the App, User Content submitted by you or your child, violation of these Terms or any law, violation of third-party rights, misrepresentation of parental status, or disputes with other Users.

14. Termination and Account Deletion

14.1 Termination by You

You may terminate your account at any time via App settings or by contacting privacy@riseohana.com.

14.2 Termination by RiseOhana

RiseOhana may suspend or terminate your account at any time for Terms violations, legal requirements, safety concerns, or discontinuation of services.

14.3 Effect of Termination

1. Immediate (Soft Delete). Account is flagged deleted; access revoked; no further data collection.
2. 30-Day Grace Period. Account data is retained for 30 days to allow restoration.
3. Hard Delete (30 days after termination). All personal information — profile data, photos, Quest activity, wallet history, session data, and push notification tokens (deregistered from Firebase Cloud Messaging) — is permanently deleted from the primary database.
4. Backup Purge (up to 90 days after hard delete). Data is purged from automated backups.

Records retained after deletion: Parental consent records (3 years), financial transaction records (3 years), audit logs (1 year).

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. To the extent federal law applies (including COPPA), these Terms shall be construed in accordance with applicable federal law.

16. Modifications to Terms

RiseOhana may modify these Terms at any time. For material changes, we will: notify Parents via email before the change takes effect; post updated Terms in the App; and, where required by COPPA, obtain new parental consent for changes affecting data practices. Continued use after the effective date constitutes acceptance.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating formal proceedings, contact legal@riseohana.com and attempt informal resolution for at least sixty (60) days.

17.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted individually, not as a class, collective, or representative proceeding.

17.3 Class Action Waiver

YOU AND RISEOHANA AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.4 Exceptions

Either party may seek injunctive relief for intellectual property violations. Either party may bring claims in small claims court in Delaware.

17.5 COPPA Enforcement Exception

Nothing in this Section limits the right of the FTC, state attorneys general, or any governmental authority to pursue enforcement actions under COPPA or any other applicable law.

17.6 Opt-Out Right

You may opt out of arbitration by sending written notice to legal@riseohana.com within thirty (30) days of first accepting these Terms.

19. General Provisions

Severability: If any provision is held invalid, the remaining provisions continue in full force. Entire Agreement: These Terms, together with the Privacy Policy and Data Retention Policy, constitute the entire agreement. Waiver: Failure to enforce a provision does not constitute a waiver. Assignment: You may not assign these Terms; RiseOhana may assign them in connection with a merger, acquisition, or sale of assets. Force Majeure: RiseOhana is not liable for failures due to causes beyond its reasonable control. This does not excuse compliance with COPPA or any other applicable law. Electronic Communications: You consent to receiving electronic communications that satisfy legal requirements for written communications.

20. Children’s Safety Commitment

In addition to COPPA compliance: the App does not enable direct communication between children or between children and unrelated adults; the App does not display advertising to children; the App does not use manipulative design patterns; the App does not collect children’s information for behavioral profiling; and all AI verification results are subject to parental review and override.
